Welcome to North & Keel. These Terms of Service ("Terms") govern your access to and use of the North & Keel website located at northandkeel.com and all services offered through it. By accessing or using the website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the website or services.

2. Nature of Services

North & Keel provides fixed-price business advisory for owners of established, owner-led small and mid-sized companies: a two-week Diagnostic, a 90-Day Plan, and optional Monthly Advisory.

Engagements run in a set order. The Diagnostic comes first: about two weeks of interviews with the owner and leadership, a review of financial and operating information, and a written readout of what to fix first. The 90-Day Plan is available after a Diagnostic, and Monthly Advisory is optional after that.

The first conversation is a free 30-minute call to check whether North & Keel is a fit for the business. Using this website, including the consultation request, does not create an engagement. An engagement begins only when North & Keel and the client agree its scope and price before work starts.

3. Advisory Disclaimer

North & Keel provides general business advisory services. Its advisors are not attorneys, accountants, or investment advisers, and it does not act as any of them. Nothing on this website or in any engagement is legal, tax, accounting, or investment advice. For those matters, consult a qualified attorney, accountant, or licensed financial professional.

Readouts, scorecards, and recommendations are based on the information the client provides and on North & Keel's judgment at the time. North & Keel does not guarantee any business result, including revenue, profit, growth, cash position, or the value of a business. Decisions about the business, and their outcomes, remain the client's.

Stories and example readouts on this website are illustrative. They do not describe real clients and do not predict what any engagement will produce.

4. Engagements and Fees

Each engagement has a fixed price, stated and agreed before work starts. North & Keel does not bill by the hour, does not charge a percentage of results, and takes no commission on anything it recommends.

The 90-Day Plan is payable in three equal monthly payments. Monthly Advisory is billed monthly and continues until either party gives 30 days' notice to stop. The client keeps the Diagnostic readout whether or not they continue to a further engagement.

Prices shown on this website are current prices. The price for a given engagement is the one agreed before it starts.

5. Client Materials and Confidentiality

During an engagement, clients may share financial statements, operating data, and information about their people and customers. North & Keel uses that material only to carry out the engagement, keeps it confidential, and does not share it with third parties except as the client directs or as the law requires.

Clients are responsible for the accuracy of the information they provide and for having the right to share it. When an engagement ends, the client may ask North & Keel to return or delete client materials, except for records the law requires it to keep.

6. Intellectual Property

All content on the North & Keel website, including text, graphics, logos, icons, images, and software, is the property of North & Keel or its content suppliers and is protected by United States and international copyright laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from this website without prior written consent from North & Keel.

The North & Keel name and logo are trademarks of North & Keel. Nothing on this website grants any license or right to use any trademark without the prior written permission of North & Keel.

7. SMS Messaging: Account Notifications Only

North & Keel operates an SMS messaging program strictly for account notifications related to your North & Keel account. North & Keel does not send promotional, marketing, or advertising messages via SMS. By enrolling in this program, you acknowledge and agree to the following terms:

Program Description: By opting in, you consent to receive recurring automated account notification text messages from North & Keel at the mobile number you provide, such as consultation and session confirmations and reminders, readout and scorecard ready notices, document requests for an engagement, invoice and payment notices, and replies to a support request. Consent to receive text messages is not a condition of creating an account or making a purchase.

Message Frequency: Message frequency varies.

Message and Data Rates: Message and data rates may apply.

Opting Out and Help: You may opt out of the SMS program at any time by texting the keyword STOP to [INSERT SHORT CODE]. After you send STOP, we will send a one-time message confirming that you have been unsubscribed, and no further messages will be sent. For assistance, text the keyword HELP to [INSERT SHORT CODE], or contact us at support@northandkeel.com.

Supported Carriers: Supported carriers include AT&T, T-Mobile, Metro PCS, Verizon Wireless, US Cellular, Google Voice, Cellular One, Cellcom, Cellular South, Interop, and Clearsky. Carriers are not liable for delayed or undelivered messages.

Privacy: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

8. Disclaimer of Warranties

The North & Keel website and all services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. North & Keel does not warrant that the website will be uninterrupted, error-free, or free from viruses or other harmful components, and makes no warranties regarding the accuracy, reliability, or completeness of any content on the website.

To the fullest extent permitted by law, North & Keel disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, North & Keel, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or in connection with your use of the website or services, whether based on warranty, contract, tort, or any other legal theory.

In no event shall North & Keel's total liability to you for all claims arising out of or relating to the website or services exceed the total amount paid by you to North & Keel during the twelve (12) months preceding the claim.
